1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legal agreement between you ("Client," "you," or "your") and Chandni Taneja and Co. ("Company," "we," "us," or "our"). By accessing our website, requesting our services, or entering into an engagement with us, you agree to be bound by these Terms.

2. Scope of Services

Chandni Taneja and Co. is a chartered accountancy firm offering audit, taxation, compliance, advisory, and related professional services. The scope of services, fees, and deliverables shall be clearly defined in our engagement letter or proposal.

3. Professional Standards

All services are provided in accordance with Indian Standards on Auditing (ISA), the Code of Ethics of the Institute of Chartered Accountants of India (ICAI), and applicable laws. We exercise professional judgment and due diligence, but we do not guarantee specific outcomes unless explicitly stated in our engagement letter.

4. Client Responsibilities

The Client is responsible for:

Providing complete, accurate, and timely financial records and documentation
Maintaining internal controls and safeguarding assets
Disclosing all material facts and potential legal or regulatory issues
Complying with applicable laws and regulations
Approving final reports and financial statements before issuance

5. Fees and Payment

Fees are determined based on the scope of engagement and are detailed in our proposal or engagement letter. Invoices are typically issued monthly or upon completion of services. Payment is due within the agreed-upon terms. Late payments may incur interest at the rate specified in our invoice.

6. Confidentiality

We are bound by professional confidentiality obligations and shall not disclose your personal, financial, or business information to third parties without your written consent, except:

As required by law, court order, or regulatory authority
In defense of our professional rights or to address misconduct allegations
To our professional advisors under confidentiality obligations

All client communications and work product are protected by professional privilege.

7. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising from our services shall not exceed the fees paid by you in the 12 months preceding the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages.

8. Errors and Omissions

While we exercise due diligence, we may make errors or omissions. Notification of any errors must be provided within 30 days of discovery. We reserve the right to correct errors in our reports, calculations, or deliverables.

9. Termination of Engagement

Either party may terminate the engagement with written notice. Upon termination, the Client remains responsible for all fees incurred up to the date of termination. We retain the right to withhold work product until outstanding fees are paid.

10. Dispute Resolution

Any disputes arising from these Terms or our services shall first be subject to good-faith negotiation between the parties. If unresolved, disputes shall be governed by the laws of the Republic of India and shall be subject to the exclusive jurisdiction of the courts in New Delhi.

11. Government Affiliation Disclaimer

We are a private consultancy firm and not affiliated with any government authority. We assist clients in preparation and submission of government applications.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes are effective upon posting to our website. Continued use of our services constitutes acceptance of modified Terms.

13. Entire Agreement

These Terms, along with our engagement letter and any written agreements, constitute the entire agreement between you and us regarding your engagement. Any prior agreements or understandings are superseded.

14. Severability

If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall continue in full force and effect.
